These Terms of Service describe the general conditions applicable to the services offered by CarrotStudio.
The financial, technical and operational conditions of each project are defined in the relevant quotation, contract, work order or other written agreement accepted by the parties.
In the event of conflict, the conditions contained in the specific agreement relating to the project prevail over these Terms of Service.
1. General Information and Site Ownership
This website (hereinafter the "Site") and the CarrotStudio commercial trademark are under the exclusive control of Mercaldi Matteo, domiciled in Switzerland, with contact e-mail info@carrotstudio.it.
CarrotStudio operates in the international market as a technology startup and independent software development collective. The content, case studies and software projects presented on the Site are provided for illustrative purposes, showing the team’s technical know-how and engineering skills.
Users are informed that the formalisation of new engagements, the contracting of services and the related invoicing are currently subject to the completion of CarrotStudio’s administrative and corporate reorganisation. No financial transaction or direct sale of services is carried out through the pages of this Site.
2. Scope of application
These Terms apply to the relationships between CarrotStudio and clients who request or purchase professional services.
Browsing the www.carrotstudio.it website does not automatically entail the conclusion of a contract.
A contractual relationship arises when the client accepts a quotation, signs a contract, confirms in writing the start of the project or makes the payment required to begin the work.
Acceptance may also take place via email or another written means agreed between the parties.
3. Services offered
CarrotStudio provides analysis, design, consultancy and digital development services, including:
- bespoke AI software;
- automations and operational workflows;
- web apps and platforms for operational processes;
- document systems, dashboards and internal tools;
- API integrations and connections between platforms;
- systems for the collection, processing and organisation of data;
- high-performance custom websites;
- maintenance, support and evolution of software and digital products.
This list is indicative. The features, technologies, expected results, liabilities and limits of each service are defined in the specific quotation or contract.
4. Quotations and conclusion of the contract
Before starting a project, CarrotStudio may provide the client with a quotation containing, depending on the work requested:
- project description;
- included features;
- excluded activities;
- indicative timescales;
- number of revisions;
- price;
- payment terms;
- delivery conditions;
- any recurring costs;
- required third-party services;
- maintenance and support conditions.
Unless otherwise stated, the quotation remains valid for the period specified within it.
Preliminary requests, hypotheses or discussions do not constitute a definitive commitment until the parties confirm the scope of the project in writing.
Any feature or activity not expressly included in the quotation is deemed excluded and may be subject to a new financial assessment.
5. Client cooperation
The client undertakes to provide, fully and promptly, the information, materials and access needed to carry out the project.
These may include:
- texts;
- images;
- logos and brand materials;
- technical credentials;
- access to external services;
- functional requirements;
- documentation;
- approvals;
- feedback on the versions presented.
The client warrants that it has the right to use and share with CarrotStudio the materials, data and access provided.
CarrotStudio is not liable for delays, errors or the inability to complete the work resulting from inaccurate information, missing materials, late responses or lack of cooperation from the client.
6. Timescales
Timescales are defined in the quotation or agreed during the project.
Unless expressly indicated as binding, delivery dates are estimates made on the basis of the information available at the time of the agreement.
Timescales may be updated in the event of:
- changes requested by the client;
- delays in the delivery of materials or approvals;
- expansion of the project scope;
- unavailability of external services;
- unforeseeable technical problems;
- force majeure events;
- circumstances not reasonably within CarrotStudio’s control.
When the project remains suspended due to the client, CarrotStudio may redefine the schedule according to its own availability at the time of resumption.
7. Changes to the project scope
Requests that modify or expand what was initially agreed may entail:
- an update to the price;
- a change to the timescales;
- a new quotation;
- the division of the work into a subsequent phase.
Before proceeding with significant additional activities, CarrotStudio informs the client of the expected consequences in terms of costs and time.
Small changes needed for the normal completion of the work can be handled within the included revisions.
8. Revisions and approvals
The number and type of included revisions are indicated in the quotation.
A revision consists of modifying work already presented on the basis of the agreed scope. It does not necessarily include a complete redesign, the addition of new features or a substantial change to the approved direction.
Additional revisions or requests outside the initial scope may be invoiced separately.
The client is responsible for checking the content, features and materials presented before final approval or publication.
When the client approves a project phase, any subsequent changes to that phase may require additional work.
9. Prices, invoicing and payments
Prices and payment terms are indicated in the quotation or contract.
Payments may be arranged:
- in a single instalment;
- through a deposit and balance;
- through milestones;
- by means of a periodic fee;
- according to another arrangement agreed in writing.
Unless otherwise agreed, amounts must be paid by the deadline indicated on the invoice or payment request.
In the event of delay, CarrotStudio may:
- suspend activities;
- postpone delivery;
- suspend maintenance or support services;
- withhold the publication or final transfer of the project;
- require payment of overdue amounts before resuming work.
Suspension due to non-payment may result in a change to the original timescales.
Any costs for external services, licences, domains, hosting, APIs, AI models, platforms or subscriptions are not considered included, unless expressly stated.
10. Third-party services and providers
Some projects may depend on services provided by third parties, such as:
- hosting services;
- domains;
- databases;
- email providers;
- APIs;
- cloud platforms;
- artificial intelligence models;
- payment services;
- automation tools;
- social networks;
- external software or libraries.
Such services may change prices, limits, features, conditions, APIs or availability independently of CarrotStudio.
CarrotStudio does not guarantee the uninterrupted operation of external services and is not liable for malfunctions, suspensions, changes or interruptions directly attributable to the respective providers.
When an external change requires action on the project, any adaptation work may be subject to maintenance or a new quotation.
The client is responsible for recurring costs registered directly in its own name, unless otherwise agreed in writing.
11. Artificial intelligence and automated systems
Some services may integrate artificial intelligence models, automated systems and components provided by CarrotStudio or by third parties.
Such systems may be used, depending on the project, to analyse data and documents, extract information, apply rules, classify content, prepare output or automate specific operational activities.
The results may contain errors, inaccuracies, omissions or content unsuited to the context.
Unless otherwise agreed in writing, the client remains responsible for checking and approving the output before it is used in decisions, communications, publications or activities with significant consequences.
CarrotStudio does not guarantee that an AI system will always produce identical, complete or error-free results.
Levels of human oversight, reliability thresholds, operational limits, approval procedures, logging and monitoring are defined according to the characteristics and risks of the project.
12. Intellectual property
Ownership of the source code, designs, content, documentation and other materials produced is defined in the specific agreement relating to the project.
Unless otherwise indicated in writing:
- the client retains ownership of the materials and content provided to CarrotStudio;
- CarrotStudio retains ownership of its own tools, pre-existing components, procedures, libraries, reusable modules, methodologies and general knowledge;
- the transfer or grant of rights to the final work takes place after full payment of the amounts due;
- any third-party components remain subject to their respective licences.
The client does not acquire exclusive rights over tools, generic components or solutions developed independently of the project and reusable in other contexts, unless otherwise agreed in writing.
13. Portfolio and communication of the collaboration
Unless otherwise agreed in writing, CarrotStudio may:
- mention the client’s name;
- state the nature of the collaboration;
- show non-confidential parts of the project;
- use publicly accessible images or screenshots;
- present the work in its own portfolio, website, social media or commercial material.
CarrotStudio will not deliberately publish credentials, personal data, confidential information or internal materials not intended for the public.
The client may request in writing that the project not be used as a case study. Any confidentiality conditions prevail over this provision.
14. Confidentiality
The parties undertake not to disclose confidential information received during the collaboration, except where:
- disclosure is necessary to carry out the project;
- the information is already publicly available;
- disclosure is authorised by the other party;
- disclosure is required by law or by a competent authority.
CarrotStudio may involve collaborators or technical suppliers when necessary, ensuring that access to information is limited to what is required to perform the service.
When the project requires specific confidentiality conditions, the parties may sign a separate agreement.
15. Credentials and access
When the client provides credentials or technical authorisations, CarrotStudio uses them solely for the agreed activities.
The client is responsible for:
- providing correct and authorised access;
- maintaining control of the main accounts;
- communicating any limitations;
- revoking or changing access at the end of the project when appropriate;
- enabling security measures such as multi-factor authentication, when available.
CarrotStudio may request temporary access or dedicated accounts to reduce the exposure of the client’s personal credentials.
16. Delivery and acceptance
The project is considered delivered when CarrotStudio makes the agreed result available to the client or publishes it in the indicated environment.
The client must report any defects or discrepancies from the agreed scope within a reasonable period from delivery.
Requests concerning new features, subjective preferences not previously communicated or changes subsequent to approval are not considered defects.
Going live, operational use or written approval of the project may constitute acceptance of the work, except for problems reported promptly.
17. Maintenance and support
The delivery of a project does not automatically include ongoing maintenance, updates, monitoring or unlimited support.
Such services are provided only when set out in the quotation, contract or a subsequent agreement.
Maintenance may include, depending on the agreed plan:
- correction of technical problems;
- updating of dependencies;
- checking of integrations;
- renewal of credentials or tokens;
- adaptations to changes in external services;
- updating of operational rules, prompts, models or verification procedures;
- operational support;
- development of new features.
Work arising from changes made by the client or third parties may be excluded from ordinary maintenance.
18. Warranties and results
CarrotStudio undertakes to carry out the work professionally and in accordance with what has been agreed.
Except where expressly provided, CarrotStudio does not guarantee specific financial, commercial or visibility results, including:
- traffic volume;
- search engine ranking;
- number of leads;
- sales;
- conversions;
- revenue;
- funding;
- approval of applications or calls for tenders;
- continuous availability of external services.
Results may depend on factors beyond CarrotStudio’s control, such as market, strategy, offering, reputation, budget, client activity, user behaviour and changes to external platforms.
19. Limitation of liability
To the extent permitted by the applicable law, CarrotStudio is not liable for indirect damages, loss of profit, loss of opportunity, business interruption or loss of data arising from the use of the services, except in cases where liability cannot be excluded or limited by law.
CarrotStudio’s total liability in connection with a specific project cannot exceed the amount actually paid by the client for the service that gave rise to the claim.
This limitation does not apply in cases where the law prohibits the exclusion or limitation of liability.
The client is responsible for maintaining backup copies of its own data, content and materials, except where a backup service is expressly included in the agreement.
20. Suspension of services
CarrotStudio may temporarily suspend the work or the provision of a service when:
- the client fails to make a payment due;
- essential materials or authorisations are missing;
- security risks emerge;
- an unlawful use or one contrary to the agreements is requested;
- an essential external service is unavailable;
- continuing the work could cause technical or legal harm.
When possible, CarrotStudio informs the client of the suspension and of the conditions needed to resume the service.
21. Withdrawal and termination of the project
The withdrawal conditions may be defined in the specific quotation or contract.
In the absence of different provisions, either party may request in writing the termination of the project with reasonable notice.
In the event of termination requested by the client, the following remain payable:
- the amounts relating to work already carried out;
- activities already planned or started;
- external costs already incurred or non-refundable;
- any amounts provided for in the specific agreement.
CarrotStudio delivers what has been produced up to that point, in proportion to the amounts actually paid and compatibly with the nature of the project.
CarrotStudio may terminate the relationship with immediate effect in the event of serious breach, persistent non-payment, unlawful use of the services or conduct that makes continuing the collaboration unreasonable.
22. Force majeure
Neither party is liable for delays or failures caused by events beyond its reasonable control, including:
- natural disasters;
- extended network outages;
- large-scale cyberattacks;
- measures taken by the authorities;
- conflicts;
- strikes;
- widespread unavailability of essential infrastructure or providers;
- health emergencies;
- other unforeseeable and unavoidable events.
The parties cooperate to reduce, where possible, the effects of the event on the project.
23. Prohibited content and uses
The client may not use CarrotStudio’s services to:
- illegal activities;
- infringements of third-party rights;
- unauthorised dissemination of personal data;
- fraud;
- cyberattacks;
- distribution of malware;
- circumvention of security systems;
- discriminatory or deceptive activities;
- other uses contrary to the law or to the signed agreement.
CarrotStudio may refuse or discontinue projects that present unacceptable legal, ethical or security risks.
24. External links and content
The CarrotStudio website may contain links to sites or services operated by third parties.
CarrotStudio does not control and does not guarantee the availability, security, accuracy or content of such external resources.
The use of third-party sites and services is subject to the conditions established by the respective providers.
25. Changes to these Terms
CarrotStudio may update these Terms to reflect changes in the services, in the organisation or in the applicable regulations.
The updated version is published on this page, indicating the date of the last amendment.
The changes do not retroactively alter the conditions of a project already governed by an accepted contract or quotation, except by agreement between the parties or as required by law.
26. Validity of the provisions
Should a provision of these Terms be invalid, ineffective or unenforceable, the remaining provisions remain valid.
The affected provision is interpreted or replaced, to the extent permitted, so as to respect its original purpose as far as possible.
Any failure by CarrotStudio to exercise a right does not constitute a waiver of that right.
27. Governing law and jurisdiction
These Terms and the contractual relationships with CarrotStudio are governed by Swiss law, subject to the application of different mandatory provisions.
For any disputes, the competent Swiss courts have jurisdiction, unless the applicable law mandatorily provides for a different jurisdiction.
Before initiating proceedings, the parties undertake to seek, where reasonably possible, an amicable resolution of the dispute.
